Company Secretary (CS)

We are looking for a qualified Company Secretary to ensure statutory and regulatory compliance, manage corporate governance processes, and support the organization's legal and secretarial functions.

Responsibilities

Ensure compliance with the Companies Act, 2013, SEBI regulations, and other applicable corporate laws
Handle ROC filings, annual returns, and statutory registers
Organize and manage Board Meetings, Committee Meetings, and General Meetings (notices, agendas, minutes)
Draft resolutions, agreements, and other legal/corporate documents
Liaise with regulatory authorities (ROC, SEBI, Stock Exchanges, RBI where applicable)
Advise the board and management on corporate governance and compliance matters
Manage share transfers, allotments, and maintenance of statutory registers
Support due diligence, M&A, fundraising, and investor relations documentation
Ensure timely secretarial audits and compliance certifications
Monitor changes in corporate law and advise on impact to business operations

Requirements / Qualifications

Qualified Company Secretary (CS) from ICS
Strong knowledge of Companies Act, SEBI (LODR) Regulations, FEMA, and corporate governance norms
Experience handling ROC filings and secretarial compliance independently
Excellent drafting, communication, and stakeholder management skills
Proficiency in MS Office (Excel, Word, PowerPoint)

Good to Have

Experience with listed companies or SEBI-regulated entities
Exposure to fundraising, M&A, or investor relations support
LLB or additional legal qualification
